You further agree that EventicPlatform may, at its sole discretion, assume the exclusive defense and control of any matter otherwise subject to indemnification, and that you will cooperate with EventicPlatform in asserting any available defenses.

22. DISPUTE RESOLUTION

Any disputes, claims, or controversies arising out of or in connection with these Terms and Conditions, the services provided by EventicPlatform, or your use of the Website, shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiations, the parties agree to resolve the dispute through alternative dispute resolution methods, including arbitration or mediation. The arbitration shall be conducted in accordance with the rules of a recognized arbitration body, and the venue for arbitration shall be located within the United States or a mutually agreed jurisdiction. Each party agrees to bear its own costs related to the dispute resolution process, except as otherwise determined by the arbitrator or mediator. 23. FORCE MAJEUR

EventicPlatform shall not be held liable for any failure or delay in performing its obligations under these Terms and Conditions if such failure or delay is due to any event beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, terrorism, strikes, lockouts, labor disputes, governmental actions, or any other cause beyond EventicPlatform’s control (collectively, “Force Majeure Events”). In the event of a Force Majeure Event, the performance of our obligations will be suspended for the duration of the Force Majeure Event, and we will make reasonable efforts to mitigate the effects of the Force Majeure Event. EventicPlatform shall not be responsible or liable for any loss, damage, or delay caused by such Force Majeure Events.

24. ENDING YOUR RELATIONSHIP WITH EVENTICPLATFORM

These Terms will remain in effect until terminated by either you or EventicPlatform, as outlined below. EventicPlatform reserves the right to terminate its legal agreement with you at any time, if:

(A) You breach any provision of these Terms or act in a manner that indicates you do not intend to comply with them;

(B) EventicPlatform is required to do so by law, such as when the provision of Services to you becomes unlawful;

(C) The partner with whom EventicPlatform offered Services to you terminates its relationship with EventicPlatform or ceases to offer the Services;

(D) EventicPlatform decides to cease offering Services in your country of residence or where you access the Services from; or

(E) EventicPlatform determines that the provision of Services to you is no longer commercially viable.

This Section does not affect EventicPlatform’s rights under Section 3 regarding the provision of Services. Upon termination of these Terms, all rights, obligations, and liabilities that you and EventicPlatform have accrued during the term of these Terms, or that are expressly stated to survive termination, will remain unaffected, and the provisions of paragraph 25 will continue to apply indefinitely.

25. GENERAL

25.1. Entire Agreement and Amendments. This Agreement constitutes the entire agreement between you and EventicPlatform and supersedes all prior or concurrent agreements relating to the subject matter hereof.

25.2 Governing Law and Forum. All claims arising under or related to this Agreement shall be governed by and construed in accordance with the laws of the United States, applicable to contracts wholly made and performed in such jurisdiction, without regard to any choice or conflict of law principles. Any dispute arising from this Agreement must be litigated in the courts of the United States, regardless of the convenience of the forum, and EventicPlatform may seek temporary injunctive relief in any venue it deems appropriate. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

25.3. No Waivers, Cumulative Remedies. EventicPlatform’s failure to insist on strict performance of any provision of this Agreement does not constitute a waiver of any of its rights. All remedies available to EventicPlatform under this Agreement, whether at law or in equity, are cumulative and nonexclusive. Severability. If any portion of this Agreement is found to be unenforceable, that portion shall be construed as closely as possible to reflect EventicPlatform’s original intent, with the remaining portions of the Agreement remaining in full force and effect. The unenforceable portion will remain enforceable in all other contexts and jurisdictions.

25.5.Captions and Plural Terms. The captions used in this Agreement are for convenience only and shall not affect the interpretation or enforcement of the Agreement. Terms defined in the singular shall have the same meaning when used in the plural and vice versa.

25.6. Survival of Terms. The termination of these Terms does not affect any provisions that, by their nature, are intended to survive termination. This includes, but is not limited to, provisions regarding intellectual property rights, indemnification, limitation of liability, dispute resolution, governing law, and any other obligations or rights that accrued prior to termination. These provisions will remain in full force and effect indefinitely, unless otherwise stated.

26. CHANGES TO TERMS AND CONDITIONS

We reserve the right to make changes to these Terms and Conditions at any time. We will notify you immediately of making any changes to these Terms and Conditions via posting the updated terms of service to this website and effective date.
